Proje finansmanında özel amaçlı araç (SPV) çoğunlukla bu ya da limited şirket biçiminde kurulur; zira sınırlı sorumluluk, projeye ait borç ve riskin sponsorun diğer varlıklarından ayrıştırılmasını, yani sınırlı rücu mantığının hukukî zeminini sağlar. English Definition
A capital company whose share capital is divided into shares and whose members are liable only to the extent of the capital they have subscribed. In project financing the special-purpose vehicle is typically incorporated in this or a limited-liability form, because limited liability supplies the legal footing for ring-fencing the project's debt and risk from the sponsor's other assets, which is what non-recourse lending rests upon. The transferability of shares, in turn, eases changes of control in tax-equity or sponsor rotations.
