Bir mahkemenin, belirli bir kişi ya da uyuşmazlık hakkında karar verme hukukî yetkisidir; konu, yer ve kişi bakımından sınırları yasayla ve taraf iradesiyle çizilir. Uluslararası proje finansmanında yetkili yargı yerinin seçimi kritik bir müzakere kalemidir; kredi verenler, kararların tanınıp icra edilebilirliği yüksek olan İngiliz ya da New York mahkemelerini tercih ederek yerel yargı belirsizliğini dışarıda bırakmaya çalışır. Forum seçimi ile uygulanacak hukuk seçiminin ayrı meseleler olması ise sık gözden kaçan bir inceliktir.
English Definition
The legal authority of a court to decide a given person or dispute, its limits drawn by subject matter, place and person under statute and by the parties' will. In cross-border project finance the choice of the competent forum is a critical negotiation point; lenders tend to prefer English or New York courts, whose judgements enjoy high recognition and enforceability, so as to keep local judicial uncertainty outside the deal. That the choice of forum and the choice of governing law are separate questions is a frequently overlooked subtlety.
