Proje finansmanında SPV'nin sponsorlarından ayrı bir tüzel kişiliğe sahip olması, sınırlı rücu ve varlık ayrıştırmasının temel taşıdır; projenin borcu ve riski bu ayrı kişilik içinde hapsedilir. Kredi verenin teminatı da bu kişiliğin varlıkları ve nakit akışları üzerinde kurulur, sponsorun genel malvarlığı üzerinde değil.
English Definition
The capacity that the legal order confers on a body or a fund to hold rights and obligations, to sue and be sued, and to own property; it is used interchangeably with juridical or legal personality. In project financing the SPV's possession of a personality distinct from its sponsors is the cornerstone of limited recourse and asset separation, the project's debt and risk being confined within that separate person. The lender's security, correspondingly, is taken over that person's assets and cash flows rather than over the sponsor's general estate.
