English Definition
An issue of securities that, within an issuer's capital structure, ranks behind existing senior securities in priority of claim or payment. This subordinate position feeds directly into the pricing of the issue, a higher return being demanded because it carries a first-loss position. In project finance mezzanine tranches typically take the form of a junior issue, filling the gap between senior debt and equity by pricing the risk neither of the two wishes to bear.
