Bir finansal kurumun, hizmet sunduğu tarafın kimliğini, mali durumunu ve risk profilini doğrulama yükümlülüğüdür; müşteri (client) boyutunda vurgu, sunulan ürünün tarafın profiline uygunluğundadır. Proje finansmanında bu yükümlülük, kredi verenlerin yalnızca SPV'yi değil, arkasındaki hissedar zincirini ve nihai gerçek faydalanıcıyı (ultimate beneficial owner) tespit etmesini gerektirir. Kritik nokta, karmaşık holding yapılarında faydalanıcının gizlenmesinin çoğu zaman kapanışı geciktiren ve kalkınma finansmanı kuruluşlarında en sık takılan önkoşul olmasıdır.
English Definition
A financial institution's obligation to verify the identity, financial standing and risk profile of the party it serves; on the client dimension the emphasis falls on the suitability of the product offered to that party's profile. In project finance the obligation requires lenders to identify not only the SPV but the shareholder chain behind it and the ultimate beneficial owner. The critical point is that, in complex holding structures, the concealment of the beneficiary is often the condition precedent that most frequently delays closing and stalls at development finance institutions.
