Kotasyon sözleşmesi, ihracçının menkul kıymetlerinin borsanın resmi listesine kabul edilme ve bu listede kalma koşullarını belirleyen ihracçı ile borsa arasındaki resmi sözleşmedir. İhracçının finansal raporlama, sürekli bilgilendirme, kurumsal yönetişim ve borsanın kotasyon kurallarına uyum konusundaki yükümlülüklerini belirler. Kotasyon sözleşmesinin ihlali menkul kıymetlerin askıya alınması veya kotasyondan çıkarılmasıyla sonuçlanabilir. Proje finansmanı sermaye piyasası işlemlerinde tahvil ihracçılarının devam eden yükümlülüklerini düzenler.
English Definition
A listing agreement is a formal contract between an issuer and a stock exchange that sets out the terms and conditions under which the issuer's securities will be admitted to and maintained on the exchange's official list. It specifies the issuer's obligations regarding financial reporting, continuous disclosure, corporate governance, and compliance with the exchange's listing rules. Breach of the listing agreement can result in suspension or delisting of the securities. In capital markets transactions for project finance, the listing agreement governs the ongoing obligations of bond issuers.
