Kredi yenileme sözleşmesi, bir kredi sözleşmesinin taraflarından birinin diğeriyle değiştirilmesini resmi olarak belgeleyen ve ayrılan tarafı tüm yükümlülüklerden kurtararak yerine gelen tarafı ikame eden hukuki belgedir. Sözleşme orijinal kredi veren, yeni kredi veren ve borçlu dahil tüm tarafların onayını gerektirir ve devir koşullarını, beyanları ve varsa ön koşulları belirler. Proje finansmanında yenileme sözleşmeleri tesis sözleşmesinde belirtilen devir hükümlerine uymalıdır.
English Definition
A loan novation agreement is the legal instrument that formally documents the substitution of one party to a loan agreement with another, effectively releasing the outgoing party from all obligations and substituting the incoming party in its place. The agreement requires the consent of all parties—the original lender, the new lender, and the borrower—and sets out the terms of the transfer, representations, and any conditions precedent. In project finance, novation agreements must comply with the transfer provisions specified in the facility agreement.
