Bir şirketin, pay sahipleri, teminatlar ya da kayıtlı menfaatler gibi hukuken tutulması zorunlu bir kaydı güncel ve erişilebilir biçimde muhafaza etme yükümlülüğüdür. Pay defteri ile teminat/rehin sicilinin doğruluğu, proje finansmanında öz kaynak rehni ve alacak temliki gibi teminat yapılarının üçüncü kişilere karşı ileri sürülebilirliğinin (perfection) temel koşuludur; sicildeki bir eksiklik, teminatın sırasını ya da geçerliliğini tartışmalı hâle getirebilir. Kredi sözleşmeleri bu nedenle sicilin tutulmasını ve denetime açık kalmasını çoğu zaman ayrı bir covenant olarak düzenler.
English Definition
The obligation of a company to keep a legally required record — such as the register of members, of charges, or of registered interests — current and accessible. The accuracy of the share register and the register of charges is a basic condition for the perfection of security structures like share pledges and receivables assignment in project finance, since a gap in the register can cast doubt on the priority or validity of the security. Loan agreements accordingly often make the keeping of the register, and its openness to inspection, a separate covenant.
