Bir malın, hakkın ya da poliçenin mülkiyet veya menfaatini bir başkasına resmi olarak devretme, temlik etme işlemidir (to make over fiilinin karşılığı). İşlem, basit bir zilyetlik teslimi değil, hukuken tanınabilir bir hak geçişidir; geçerliliği çoğu zaman yazılı şekil ve üçüncü kişilere bildirim koşuluna bağlıdır. Proje finansmanında bu kavram, sigorta poliçesi hasar tazminatının, alacakların ya da sözleşme haklarının teminat olarak kredi verene temlik edilmesinde belirleyicidir; temlik borçluya bildirilmediği sürece, borçlunun asıl alacaklıya yaptığı iyi niyetli ödeme geçerli kalacağı için, teminatın etkinliği bildirim tekniğine bağlıdır.
English Definition
The formal transfer or assignment of the ownership or benefit of property, a right or a policy to another (the sense of the verb to make over). It is not a mere handing over of possession but a legally recognized passing of title, whose validity often depends on written form and notice to third parties. In project finance the notion is decisive in the assignment of insurance proceeds, receivables or contractual rights to a lender as security; because a debtor's good-faith payment to the original creditor remains valid until the assignment is notified, the effectiveness of the security turns on the technique of notice.
