English Definition
A situation in which conditions of a company, project or market change materially and adversely enough to undermine the parties' basic assumptions on entering the transaction; the materiality threshold is often left undefined in the contract, deferring interpretation to the moment of dispute. This ambiguity is deliberate; rather than write out every scenario, the parties want a broad safety valve. In practice the burden of proving a material adverse change is heavy; a fluctuation affecting the sector as a whole is often held insufficient, and the change is required to have struck the party concerned disproportionately and durably.
