English Definition
A specific contractual provision in a loan agreement or bond indenture that prohibits the borrower from granting security interests over its assets to third parties. If the borrower does create security for other creditors, the negative pledge clause typically requires that equal and ratable security be provided to the existing lender. This clause is standard in international project finance, sovereign lending, and development bank financing documentation.
