A notation indicating that goods or securities are not offered for sale; on commercial samples it marks the item as free of charge, while in a securities context it can signal that an issue is not offered to the public. On the capital-markets side the phrase is kin to the restrictive legends placed on restricted securities, since on privately placed project bonds a 'not for sale' legend ties secondary transfer to specific exemptions and holding periods, thereby shaping liquidity and, in turn, the initial price.
