English Definition
The party to whom a proposal for a contract or transaction is addressed and who holds the power to accept or reject it. In contract law it forms the second leg of the offer-and-acceptance mechanism, the offeree's express or implied acceptance being what forms the contract. The concept matters particularly in public company acquisitions, where a tender offer is directed at the target's shareholders — the offerees — whose collective decision determines the transaction's fate; in project finance, an offeree's compliance with the time and form conditions of a call option or pre-emption right is critical to that right's valid exercise.
