Proje finansmanında bir teklif edenin ortaya koyduğu bağlayıcı teklifin (binding offer) süresi ve koşula bağlılığı, karşı tarafın alternatif tekliflerle pazarlık yürütme marjını doğrudan belirler; bu nedenle münhasırlık (exclusivity) hükümleri çoğu zaman teklif eden lehine müzakere edilir.
English Definition
The party that puts forward a proposal for a contract or transaction, making the offer, and standing opposite the offeree; it sets the terms proposed and the period for which it remains bound. In takeover transactions the offeror is the party proposing to acquire the target's shares, and the offer's revocability, duration and conditionality are frequently constrained by regulatory rules. In project finance the duration and conditionality of an offeror's binding offer directly determine the counterparty's room to negotiate against competing bids, which is why exclusivity provisions are often negotiated in the offeror's favour.
