Proje tahvili işlemlerinde Reg S ya da 144A çerçevesinde hazırlanan offering circular, projenin inşaat, alıcı taraf (off-taker) ve kaynak riskini açıkladığı ölçüde yatırımcı fiyatlamasını doğrudan biçimlendirir. Bu belgedeki risk beyanlarının kapsamı ve tonu, ileride bir sorun çıktığında ihraççının sorumluluk savunmasının da zeminini oluşturduğundan, hukuk müşavirleri metni çoğu zaman en küçük ayrıntısına kadar müzakere eder.
English Definition
The offering document presented to investors in a securities issue, describing the issuer, the terms of the issue and the risks borne; it substitutes for a full prospectus particularly in international and exempt offerings. In project bond transactions an offering circular prepared under Reg S or 144A shapes investor pricing directly to the extent that it discloses the project's construction, off-taker and resource risk. Because the scope and tone of the risk disclosures also form the ground for the issuer's liability defence should something later go wrong, counsel negotiate the text down to its finest detail.
