Proje tahvillerinin özel yerleştirmesinde bu memorandumda yer alan finansal model özetleri ve baz senaryo (base-case) varsayımları, sonradan uygulanacak covenant testlerinin ölçüleceği referansı fiilen belirler. Bu nedenle memorandumdaki projeksiyonların ne kadar iyimser kurulduğu, işletme aşamasında sponsorun hangi eşiklerde nefes alacağını sessizce tayin eder ve müzakerenin en teknik kalemlerinden birini oluşturur.
English Definition
The disclosure document prepared for and presented to investors in securities issued through a private placement; more flexible than a public prospectus yet equally binding in terms of liability. In the private placement of project bonds, the financial-model summaries and base-case assumptions set out in the memorandum effectively fix the benchmark against which later covenant tests are measured. How optimistically those projections are framed therefore quietly determines the thresholds at which the sponsor will breathe during the operating phase, making it one of the most technical items in the negotiation.
