English Definition
The internal legal unit responsible for all of an organization's legal affairs, contract negotiations and legal-risk management. At development finance institutions this office negotiates the loan and security documentation itself, and its sign-off is a gating step in the credit-approval process — a transaction cannot proceed to closing until its reservations are resolved. An experienced sponsor learns the standard positions of the DFI's general counsel early and sequences the negotiation accordingly, since insisting on provisions on which this office typically does not yield can push the closing timetable back by weeks.
