Bir tesisi işletmek, kurulu bir üretim ya da hizmet varlığını — santral, fabrika, terminal — teknik, ticari ve idari olarak faal halde yürütmek anlamına gelir; finans dilinde ise aynı ifade bir kredi tesisini (facility) fiilen kullanmak, yani çekiş yapmak için de kullanılır. Proje finansmanında işletme hakkının kimde olduğu kritik bir kontrol sorusudur: varlığı bir işletme ve bakım (O&M) yüklenicisi çalıştırıyorsa, performans garantileri, kullanılabilirlik (availability) taahhütleri ve ceza mekanizmaları borç servisinin öngörülebilirliğini doğrudan belirler. Kredi verenler, temerrüt halinde işletmeciyi değiştirebilme (step-in) hakkını sözleşmeye yerleştirir; zira tesisi işletme kapasitesinin sürekliliği, teminatın değerinden önce gelir akışının teminatıdır.
English Definition
To operate a facility means to keep an installed production or service asset — a power plant, factory, or terminal — running in technical, commercial, and administrative terms; in financial usage the same phrase also denotes actually using a credit facility, that is, drawing on it. In project finance who holds the right to operate is a critical control question: where an operations-and-maintenance contractor runs the asset, its performance guarantees, availability undertakings, and penalty mechanisms directly govern the predictability of debt service. Lenders embed a step-in right to replace the operator on default, since continuity of the capacity to operate the facility is the security of the revenue stream before it is the value of the collateral.
