Bir kişinin hesabına ya da menfaatine hareket etmek, bir tarafın kendi adına ama başkasının ekonomik çıkarına, o kişinin riskini ve getirisini üstlenerek işlem yapması anlamına gelir; vekâlet, komisyonculuk ve saklama (nominee) ilişkilerinin hukuki çekirdeğidir. İşlemin hukuki mülkiyeti ile ekonomik menfaati bu yapıda birbirinden ayrılır. Proje ve fon yapılarında bu ayrım kritik önem taşır: bir saklama kuruluşunun ya da özel amaçlı aracın (SPV) varlıkları kimin menfaatine tuttuğu, iflas halinde varlıkların kime ait sayılacağını (bankruptcy remoteness) belirler; menfaat sahibinin doğru belgelenmemesi, güvence yapısını çökerten ve kredi verenin teminatını üçüncü kişi alacaklılara açık bırakan bir kusurdur.
English Definition
To operate for the account or benefit of someone means for one party to transact in its own name but for another's economic interest, bearing that person's risk and return; it is the legal core of agency, brokerage, and nominee relationships. Legal title to the transaction and its economic benefit are separated in this structure. In project and fund structures the distinction is critical: for whose benefit a custodian or special-purpose vehicle holds assets determines to whom the assets belong on insolvency (bankruptcy remoteness); failure to document the beneficiary correctly is a defect that collapses the security structure and leaves the lender's collateral exposed to third-party creditors.
