ABD hukukunda bir limited liability company'nin (LLC) iç işleyişini — üyelerin hak ve yükümlülüklerini, yönetim yapısını, kâr dağıtımını, çıkış ve devir kurallarını — düzenleyen temel sözleşmedir; ana sözleşmenin (charter) aksine çoğu eyalette kamuya açık değildir ve tarafların iradesine geniş serbesti tanır. Proje finansmanında SPV çoğu kez LLC olarak kurulduğundan, operating agreement kontrolün, oy haklarının ve dağıtım sırasının kalbidir. Özellikle tax equity yapılarında bu sözleşme, hukuki kâr/zarar tahsisini (allocation) ve flip mekanizmasını taşıyan belgedir; vergi kredisi yatırımcısının getirisini belirli bir orana ulaşana dek önceliklendiren tahsis hükümleri buraya yazılır, dolayısıyla belgedeki en küçük kusur getiri modelinin tamamını bozabilir.
English Definition
In US law, the core agreement governing the internal workings of a limited liability company — members' rights and obligations, management structure, profit distribution, and rules on exit and transfer; unlike the charter it is, in most states, not public and grants the parties wide freedom of contract. In project finance the SPV is often formed as an LLC, so the operating agreement is the heart of control, voting rights, and distribution order. In tax equity structures especially it is the document carrying the legal allocation of profit and loss and the flip mechanism; the allocation provisions that prioritize the tax-credit investor's return until a target rate is reached are written here, so the smallest defect in the document can distort the entire return model.
