Bir varlığın ya da tesisin işletilmesini bir tarafa devreden sözleşmedir; kapsamı, bir santralin gündelik işletilmesinden bir kamu hizmetinin imtiyazlı yürütülmesine kadar uzanır ve performans standartlarını, ücret yapısını ve sorumluluk paylaşımını tanımlar. Proje finansmanında işletme ve bakım (O&M) sözleşmesi, gelir akışının öngörülebilirliğini taşıyan temel belgelerden biridir. Kredi verenler bu sözleşmede kullanılabilirlik garantisi, performans cezaları ve — kritik olarak — temerrüt halinde işletmeciyi değiştirebilme (step-in) hakkını arar; ücretin sabit mi yoksa performansa bağlı mı olduğu, operasyonel riskin işletmeci ile proje şirketi arasında nasıl bölüşüldüğünü belirler ve doğrudan borç servis örtüsünün istikrarını etkiler.
English Definition
A contract transferring the operation of an asset or facility to one party; its scope ranges from the day-to-day running of a power plant to the concessioned operation of a public service, and it defines performance standards, the fee structure, and the allocation of responsibility. In project finance the operations-and-maintenance contract is among the core documents carrying the predictability of the revenue stream. Lenders look in it for an availability guarantee, performance penalties, and — critically — a step-in right to replace the operator on default; whether the fee is fixed or performance-linked determines how operational risk is split between operator and project company and directly affects the stability of debt service coverage.
