English Definition
The power to direct a business's day-to-day operational decisions — production, staffing, procurement, pricing — which can be separate from legal ownership or financial control, since operating control may be secured even with a minority stake through contractual arrangements. This distinction sits at the center of consolidation and governance debates. In project finance, who holds operating control is often more decisive than the shareholding in joint ventures: one party may hold effective control with a minority stake through the operating agreement and rights to appoint management, and lenders therefore identify the true decision-maker by looking not only at the equity structure but at the contractual provisions that carry operating control.
