English Definition
The technical and administrative personnel who actually run a facility during its commercial operating phase, typically the crew the O&M contractor deploys on site. In project finance the key members are protected by key-personnel clauses in both the credit and O&M agreements, because the plant's performance guarantees rest largely on the continuity of this crew. Unauthorised turnover among named personnel can, in some structures, trigger the lenders' right to replace the operator, since the erosion of institutional memory is priced directly as availability risk.
