Bir alıcının ya da yatırımcının, belirli bir malı, hizmeti veya menkul kıymeti satın alma iradesini kesinleştirdiği ve koşulları sabitlediği belgedir. Menkul kıymet ihraçlarında talep toplama sürecinde yatırımcının miktar ve fiyat taahhüdünü ortaya koyduğu form, tahsis kararının hukuki dayanağını oluşturur. Proje tedarikinde ise imzalı sipariş formu çoğu kez bağlayıcı taahhüdün doğduğu andır; zira çerçeve sözleşme genel koşulları belirlese de, fiyatı, teslim tarihini ve miktarı fiilen kilitleyen belge budur ve gecikme cezası hesabı da bu tarihe bağlanır.
English Definition
A document by which a buyer or investor firms up the intention to purchase a specified good, service or security and fixes the terms. In securities offerings the form on which an investor states its quantity and price commitment during book-building provides the legal basis for the allocation decision. In project procurement a signed order form is often the moment a binding commitment arises, because although the frame agreement sets general conditions, this is the instrument that actually locks price, delivery date and quantity — and the date against which liquidated-damages accrual is measured.
