English Definition
Out-of-pocket expenses are the direct costs a service provider or employee actually incurs in the course of work, separate from their fee and later reimbursable—travel, lodging, expert fees, official charges and the like. In advisory and legal engagements the cap and pre-approval threshold for these costs are negotiated closely. In project finance the lender's advisory costs (legal, technical, insurance, model audit) are typically passed to the borrower; sponsors therefore try to place a cap or estimated budget in the mandate letter, since an uncapped out-of-pocket clause makes closing costs unpredictable.
