Bir menkul kıymetin ya da mülkün, ihraççının ya da tapu/sicilin resmi kayıtlarında sahibi olarak görünen taraftır; temettü, faiz, oy hakkı ve tebligat gibi hakların muhatabı bu kayıtlı taraftır. Kayıtlı sahip ile gerçek (beneficial) sahip çoğu zaman ayrışır; paylar bir saklama kuruluşu (custodian) ya da aracı adına toplu hesapta (street name) tutulduğunda, ekonomik menfaat sahibi ile kayıtta görünen ad farklıdır. Proje finansmanında bu ayrım, teminatın kime karşı ileri sürüleceğini ve kontrol değişikliği (change of control) hükümlerinin hangi tarafın hareketiyle tetikleneceğini belirlediğinden hukuki olarak kritiktir.
English Definition
The party shown as owner of a security or property in the official records of the issuer or the land/title registry; this recorded party is the addressee of rights such as dividends, interest, voting, and notice. The owner of record and the beneficial owner often diverge; when shares are held in a custodian's or broker's omnibus account in street name, the holder of economic interest differs from the name on the register. In project finance this distinction is legally critical, because it determines against whom security is enforced and whose action triggers change-of-control provisions.
