Proje finansmanında mülkiyet nadiren tek bir tarafta bütün hâlde durur; hukuki mülkiyet özel amaçlı şirkette kalırken, kullanım ve gelir hakkı bir imtiyaz ya da kiralama ile, tasarruf hakkı ise kredi veren lehine rehin ve temlikle sınırlandırılmıştır. Bu parçalanmış mülkiyet yapısı, temerrüt hâlinde teminatın devralınmasını (step-in) kolaylaştırmak için kasıtlı olarak kurgulanır ve hangi yetkinin kimde durduğu, kontrolün gerçekte nerede olduğunun haritasıdır.
English Definition
The most comprehensive right in rem, granting a party the full powers to use a thing, enjoy its fruits, and dispose of it — the strongest of the rights the law recognizes. In project finance, ownership rarely rests whole in a single party; legal title stays in the special-purpose vehicle while the right of use and income is limited by a concession or lease and the right of disposal by security and assignment in the lender's favor. This fragmented ownership is deliberately engineered to ease step-in on default, and which power rests with whom is the map of where control actually lies.
