Birden fazla kişinin aynı mal üzerinde, fiilen bölünmemiş ama oransal olarak belirli paylara sahip olduğu ortak mülkiyet biçimidir; her paydaş kendi payını diğerlerinin rızası olmadan devredebilir ve elbirliği mülkiyetten farklı olarak bir paydaşın ölümünde payı mirasçılarına geçer, diğer paydaşlara değil. Ortak bir varlık üzerinde farklı yatırımcıların paylı mülkiyeti, çıkış esnekliği sağlarken bir paydaşın payını istenmeyen bir tarafa devretmesi riskini de doğurur; bu nedenle ortak girişimlerde önalım (right of first refusal), etiketleme ve sürükleme (tag/drag-along) hükümleri paylı yapının kontrol boşluklarını kapatmak için sözleşmeye yerleştirilir.
English Definition
A form of co-ownership in which several persons hold defined proportional shares in the same undivided property; each co-owner may transfer their share without the others' consent, and unlike joint ownership a share passes on a co-owner's death to their heirs rather than to the other co-owners. Common ownership of a shared asset by different investors provides exit flexibility but also creates the risk that one co-owner transfers its share to an unwanted party; joint ventures therefore embed right-of-first-refusal, tag-along, and drag-along provisions in the contract to close the control gaps of the common structure.
