English Definition
A security that exists only as a book-entry in the records of a central depository, with no physical certificate printed, so that title passes by amending the register rather than by delivering paper. Dematerialisation removes the risk of forgery and loss, but it makes ownership depend on the integrity of the custody chain and the register itself. In project financing, holding issued bonds in dematerialised form lets collateral be perfected and pledges notified through the register rather than certificate delivery, which speeds the transfer of interests within a syndicate.
