English Definition
The preparation, execution, and safekeeping of the body of documents required to constitute, close, and later administer a transaction, encompassing contracts, security documents, conditions-precedent checklists, and reconciliation records. What looks administrative in fact governs the enforceability of rights, since a missing or defective document can defeat the priority of security or a right to draw funds. In project financing, assembling the conditions-precedent package is often the real bottleneck to financial close, where the binding constraint is documentary discipline rather than price.
