English Definition
An assurance under which a parent stands as accessory surety for its subsidiary's debt, bearing liability only to the extent the underlying obligation is valid and due. What separates it from an independent guarantee is that the surety may raise all of the principal debtor's defences and, in many jurisdictions, insist that the principal be pursued first before the surety is called. In project financing lenders seek to weaken this accessory character by drafting the surety as joint and several and waiving those defences, and the governing law of the suretyship determines directly whether such waivers hold.
