Belirli bir yöreye, ticaret koluna ya da meslek grubuna özgü olan ve genel örf ve âdetten ayrılan, ancak süreklilik ve genel kabul koşullarını taşıdığı ölçüde hukuken bağlayıcı sayılan yerleşik uygulamadır. Taraflar sözleşmede aksini kararlaştırmadıkça, hususi teamül boşlukları doldurur ve edimlerin yorumunda esas alınabilir; ispat yükü ise onu ileri sürene aittir. Sınır ötesi proje sözleşmelerinde bir yerel ya da sektörel teamülün varlığı, yabancı tarafın metinden okuyamayacağı örtük bir yükümlülük kaynağı olabilir; bu nedenle sözleşmeler çoğu zaman tam metin (entire agreement) hükmüyle teamül etkisini bilinçli olarak dışlar.
English Definition
An established practice peculiar to a defined locality, trade, or profession that diverges from general usage yet is treated as legally binding to the extent it meets the conditions of continuity and general acceptance. Unless the parties agree otherwise, a particular custom fills gaps and may inform the interpretation of obligations, with the burden of proof resting on the party asserting it. In cross-border project contracts the existence of a local or sectoral custom can be a source of implied obligation that a foreign party cannot read from the text, which is why agreements often deliberately exclude its effect through an entire-agreement clause.
