Bir borç ya da yükümlülük karşılığında ödemeyi yapan taraftır; alacaklının (payee) karşısında durur ve ödeme talimatının kaynağıdır. Ödeyenin ödeme gücü ve niyeti, alacaklının taşıdığı karşı taraf riskinin özüdür. Proje finansmanında nihai ödeyenin kim olduğu — off-taker, kamu otoritesi ya da proje şirketinin kendisi — projenin gelir güvenilirliğini belirler; kredi verenler bu nedenle ödeme zincirinin en zayıf halkasını, yani en düşük kredi notuna sahip ödeyeni, borçlanma yapısının fiili tavanı olarak fiyatlar.
English Definition
The party that makes a payment against a debt or obligation, standing opposite the payee and serving as the source of the payment instruction. The payer's capacity and willingness to pay are the essence of the counterparty risk the creditor carries. In project finance, the identity of the ultimate payer, whether an off-taker, a public authority, or the project company itself, determines the reliability of the revenue line; lenders accordingly price the weakest link in the payment chain, the lowest-rated payer, as the effective ceiling on the financing structure.
