English Definition
The body of provisions in a contract governing when, on what conditions, against which documents, and through which approval process payment is made, covering tenor, currency, invoicing, dispute, and set-off mechanisms. The detail of these provisions quietly sets the balance of cash flow and bargaining power between the parties. In project finance, the payment procedure in an EPC contract, the certification period, retention rate, and approval requirement, directly shapes the contractor's working-capital need and thus its bid price; drawing the approval chain out longer than necessary looks favorable to the employer but returns as the contractor's financing cost embedded in the price.
