Bir kredi sözleşmesinde, henüz tam bir temerrüt oluşturmayan ancak zamanın geçmesi, bir bildirimin yapılması ya da bir koşulun sağlanamaması halinde temerrüde dönüşebilecek olayı tanımlayan hukuki kavramdır. Bu ara statü, kredi verene fiilî temerrüt beyanından önce belirli koruyucu tedbirleri devreye alma imkânı tanır; nitekim çoğu proje finansmanı sözleşmesinde bir potansiyel temerrüt halinin varlığı, tek başına yeni çekişleri durduran bir mekanizmayı tetikler ve böylece borçluyu, ihlal olgunlaşmadan durumu düzeltmeye zorlayan sessiz bir kaldıraç işlevi görür.
English Definition
A legal concept in a loan agreement denoting an event that does not yet constitute a full default but would ripen into one on the passage of time, the giving of notice or the failure to satisfy a condition. This intermediate status lets the lender deploy protective measures before declaring an actual default. In most project-finance agreements the mere subsistence of a potential event of default triggers a drawstop halting further disbursement, functioning as a quiet lever that pressures the borrower to cure the situation before the breach matures.
