Bir rehin hakkının, hukukun öngördüğü tekemmül şartlarının — çoğu zaman zilyetliğin rehin alana devri ya da menkul kıymetlerde hesabın kontrolü — yerine getirilmesiyle üçüncü kişilere karşı geçerli ve öncelikli hâle gelmiş biçimidir. Menkul ve finansal varlıklar üzerinde kurulan rehin, taşınmaz ipoteğinden farklı olarak çoğu zaman kontrol ya da zilyetlik esasına dayanır. English Definition
The form a pledge takes once the perfection conditions the law prescribes — usually transfer of possession to the pledgee, or control of the account for securities — are met, so that it becomes valid and prior against third parties. Unlike a mortgage over real property, a pledge over movable and financial assets frequently rests on control or possession. In project financing the most critical application is the pledge over the SPV's shares; a lender's perfected pledge over the project company's shares affords the option, on default, of taking over the entire project as a whole through share enforcement rather than executing against assets one by one, a mechanism that forms the legal backbone of project finance step-in rights.
