A formal application to a court or competent authority to terminate a company's legal existence, brought on grounds of shareholder deadlock, exhaustion of purpose or statutory requirement. In project finance the winding-up of a special-purpose vehicle is typically hemmed in by default and transfer restrictions in the loan documents; senior lenders subject shareholder actions capable of triggering a dissolution petition to consent rights in order to preserve their security package, and that provision quietly frames the real bargaining terrain of most disputes.
