Bir varlığın, belgenin ya da fonun, belirlenen koşullar gerçekleşene kadar tarafsız bir üçüncü tarafça (escrow agent) tutulmak üzere emanete verilmesidir. Proje işlemlerinde escrow'a koyma, güvenden bağımsız bir icra mekanizması yaratır: satın alma bedeli, tapu ya da hisse senedi, kapanış koşulları sağlanana kadar hiçbir tarafın tek taraflı erişemeyeceği bir hesapta bekler. Escrow talimatlarının serbest bırakma koşullarını ne kadar kesin tanımladığı, uyuşmazlık halinde fonun kime ait olacağını belirleyen kritik ayrıntıdır.
English Definition
The delivery of an asset, document or fund into the custody of a neutral third party (the escrow agent) to be held until specified conditions are met. In project transactions placing in escrow creates an enforcement mechanism independent of trust: the purchase price, title or share certificates wait in an account no party can unilaterally reach until closing conditions are satisfied. How precisely the escrow instructions define the release conditions is the critical detail determining to whom the fund belongs should a dispute arise.
