The fixed place at which a person or entity actually conducts its commercial activity; unlike the registered office, it points to the location of real operations. In cross-border project finance where the place of business lies is not merely a matter of address; because it determines tax liability, governing law, insolvency jurisdiction and the register in which security is perfected, the divergence between the real place of business and the paper seat is a structural variable that bears directly on creditors' enforcement strategy.
