Bir borcun teminatı olarak, alacaklıya bir taşınır varlık ya da hak üzerinde öncelikli tatmin imkânı veren ayni teminattır; klasik biçiminde teminat konusu malın zilyetliği alacaklıya ya da güvenilir bir üçüncü kişiye devredilir. Rehin, borç ödenmediğinde alacaklıya varlığı paraya çevirme hakkı tanır. Proje finansmanında en kritik rehin çoğu zaman fiziksel varlık değil, proje şirketinin hisselerinin rehnidir; hisse rehni, kredi verenlere temerrüt halinde yönetimi devralma (step-in) ve projeyi tasfiye etmeden yeni bir operatöre devretme imkânı verdiği için teminat mimarisinin omurgasıdır.
English Definition
A form of security in rem that gives a creditor a priority right of satisfaction over a movable asset or right pledged as collateral for a debt; in its classic form, possession of the pledged asset passes to the creditor or to a trusted third party. The pledge entitles the creditor to realise the asset if the debt goes unpaid. In project financing the most critical pledge is often not over a physical asset but over the shares of the project company; a share pledge is the backbone of the security architecture, because on default it lets lenders step in and transfer the project to a new operator without liquidating it.
