Bir şirketin hisse senetlerinin, bir borcun teminatı olarak alacaklı lehine rehnedilmesi işlemidir. Rehin edilen hisseler, temerrüt halinde alacaklıya şirket üzerinde kontrolü ele alma imkânı verir. Proje finansmanında hisse rehni, teminat paketinin en güçlü unsurudur; çünkü kredi veren, tekil varlıkları tek tek icra etmek yerine, tüm proje şirketini gelir sözleşmeleri ve izinleriyle birlikte, bir bütün olarak devralabilir. Rehnin kusursuz tesisi (perfection) ve oy haklarının rehin süresince kimde kalacağı, sözleşmenin en çok müzakere edilen hükümlerindendir.
English Definition
The transaction by which a company's shares are pledged in favour of a creditor as security for a debt. The pledged shares give the creditor, on default, the means to assume control of the company. In project financing a share pledge is the strongest element of the security package, because the lender can take over the entire project company as a going concern, with its revenue contracts and permits intact, rather than enforce against individual assets one by one. The perfection of the pledge and the question of where voting rights rest during its term are among the most heavily negotiated provisions.
