Rehin veren ile rehin alan arasında, teminat konusu varlığın kapsamını, rehin alacaklısının haklarını ve temerrüt halinde uygulanacak paraya çevirme usulünü düzenleyen sözleşmedir. Bu belge, teminatın hukuki geçerliliğinin ve önceliğinin temelini oluşturur. Proje finansmanında rehin sözleşmesi tek başına yeterli değildir; teminatın üçüncü kişilere karşı ileri sürülebilmesi için sicile tescil, bildirim ya da zilyetlik devri gibi perfection adımları gerekir, ve bu adımlardaki bir eksiklik, kredi verenin teminatını iflas masasında sıradan bir alacaklı konumuna düşürebilir.
English Definition
The contract between pledgor and pledgee that defines the scope of the pledged asset, the rights of the secured creditor and the enforcement procedure to apply on default. The document is the foundation of the security's legal validity and priority. In project financing a pledge agreement is not sufficient on its own; for the security to be assertable against third parties it requires perfection steps such as registration, notice or transfer of possession, and a defect in those steps can reduce the lender's security to the position of an ordinary creditor in an insolvency.
