Bir borcun teminatı olarak kendisine rehin hakkı tanınan, yani teminat konusu varlık üzerinde öncelikli tatmin hakkına sahip olan alacaklı taraftır. Rehin alan, borç ödenmediğinde varlığı sözleşme ve yasa çerçevesinde paraya çevirme yetkisine sahiptir. Proje finansmanında rehin alan çoğu zaman tekil bir kredi veren değil, tüm sendikasyon adına hareket eden bir teminat vekilidir (security agent); bu yapı, teminatın tek elden yönetilmesini sağlar ve alacaklılar arası anlaşmazlıkta paraya çevirme kararının hangi çoğunlukla alınacağını inter-creditor sözleşmesine bırakır.
English Definition
The creditor party granted a pledge as security for a debt, that is, holding a priority right of satisfaction over the pledged asset. The pledgee has authority, on non-payment, to realise the asset within the framework of the contract and the law. In project financing the pledgee is often not a single lender but a security agent acting for the whole syndicate; this structure keeps the security under unified management and leaves to the inter-creditor agreement the question of what majority is required to decide on enforcement.
