Süre geçmesi, ihbar yapılması ya da her ikisinin birlikte gerçekleşmesi hâlinde bir temerrüt hâline (event of default) dönüşecek olan, ancak henüz o eşiğe ulaşmamış durumu ifade eder; LMA belgelerinde çoğu zaman yalın 'Default' olarak adlandırılır. Bu ayrım proje finansmanında kritiktir: muhtemel temerrüt, henüz muacceliyet (acceleration) hakkı doğurmasa da çekiliş durdurma (drawstop) tetikleyebilir ve yeni kullanımları bloke edebilir. İnşaat döneminde borçluyu en çok kısıtlayan mekanizma genellikle budur, zira tam temerrüde olgunlaşmamış bir kusur dahi finansmanı dondurarak projeyi likidite darboğazına sokabilir.
English Definition
A state of affairs that would ripen into an event of default upon the lapse of time, the giving of notice, or both, but which has not yet reached that threshold; LMA documentation frequently labels it simply a Default. The distinction is critical in project finance: a potential event of default may not yet confer a right to accelerate, yet it can trigger a drawstop and block further utilizations. During construction this is often the mechanism that constrains a borrower most, since a defect that has not matured into a full default can nonetheless freeze funding and push the project into a liquidity squeeze.
