English Definition
The possible profit a position or investment could yield should a favorable outcome materialize; the counterpart to potential loss, it measures the upside openness of a position. In derivatives, the asymmetry between potential gain and potential loss defines a position's risk profile. In project finance the concept explains the logic of the capital structure: a lender's return is capped by margin and fees, whereas the whole of the potential gain — the residual value remaining once debt is served — accrues to the equity holder, and that asymmetry between capped debt return and uncapped sponsor upside is what feeds a sponsor's appetite for leverage.
