English Definition
A form of power of attorney that also embeds the right to appoint a substitute to exercise the powers granted — the power of substitution — so that the chain of authority can be maintained even where the original attorney cannot act in person. In project finance this structure matters in the enforcement of security and in step-in. On default, a lender-appointed attorney can delegate the authority to a receiver or a new operator, preserving the chain of authority; this is a practical mechanism for keeping enforcement unblocked, especially in cross-border structures where the original attorney lacks capacity to act in the local jurisdiction.
