Bir vekilin ya da yetkilinin, kendisine tanınan yetkiyi kullanmak üzere yerine üçüncü bir kişiyi atayabilmesini, yani yetkisini devredebilmesini ifade eder. Salt bu devir yetkisinin varlığı ya da yokluğu, vekâlet ilişkisinin esnekliğini belirler. Proje finansmanında bu kavramın bir yankısı, doğrudan sözleşmelerdeki (direct agreement) substitution mekanizmasıdır: temerrüt hâlinde kredi verenler, projeyi ya da imtiyaz sahibini nitelikli bir başka tüzel kişiyle ikame etme hakkını kullanabilir. İki bağlam farklı olsa da ortak mantık, yetkinin ya da konumun asıl sahibinden koparılıp uygun bir halefe aktarılabilmesi, dolayısıyla sürecin tek bir kişiye bağımlı kalmamasıdır.
English Definition
The capacity of an attorney or authorized person to appoint a third party to exercise the authority conferred — that is, to delegate the power itself. The mere presence or absence of this delegating power governs the flexibility of the agency relationship. In project finance an echo of the concept appears in the substitution mechanism of direct agreements: on default, lenders may exercise a right to replace the project company or concessionaire with another qualified entity. Though the two contexts differ, the shared logic is that authority or position can be detached from its original holder and transferred to a suitable successor, so the process does not depend on any single party.
