English Definition
The applicable law that prevails in the interpretation and enforcement of a contract and binds the parties; even where the parties choose a governing law, the mandatory rules of the host country often override it. The critical aspect in cross-border project finance is that, although the credit agreement is commonly made subject to New York or English law, the law of the place where security is created governs its enforcement; the interaction between the chosen prevailing law and local mandatory law therefore determines the real enforceability of the security, a gap that diligence maps before signing.
