İşveren ile ana yüklenici arasında doğrudan kurulan, işin bütününün ifasını düzenleyen asıl sözleşmedir; alt yüklenici sözleşmeleri bu ana sözleşmeden türer ve ona tabidir. Ana sözleşmenin risk dağılımı — gecikme cezaları, teminatlar, ödeme takvimi, tamamlama tanımı — alt sözleşmelere 'back-to-back' aktarılmadığında, ana yüklenici üstlendiği yükü tabana geçiremez ve bu boşluk marjını aşındırır. Proje finansmanında kredi verenler ana sözleşme ile alt sözleşmeler arasındaki bu geçişkenliği titizlikle inceler; zira EPC yüklenicisinin taşıyamadığı bir riskin sonuçta proje şirketine, dolayısıyla borç servisine döneceğini bilirler.
English Definition
The principal contract established directly between the owner and the prime contractor, governing performance of the entire works; subcontracts derive from and are subordinate to it. Where the prime contract's risk allocation — liquidated damages, securities, payment schedule, definition of completion — is not passed 'back-to-back' into the subcontracts, the prime contractor cannot transmit the burden it has assumed downward, and this gap erodes its margin. In project financing, lenders scrutinize this pass-through between the prime contract and the subcontracts, knowing that a risk the EPC contractor cannot carry ultimately returns to the project company and thus to debt service.
