Bir garanti, kefalet ya da teminatın güvence altına aldığı temel borç ya da edim yükümlülüğüdür; fer'i güvenceler ancak bu asıl yükümlülük geçerli olduğu ve devam ettiği ölçüde ayakta kalır. Asıl yükümlülüğün kapsamı, güvencenin tavanını da belirler; kefil, asıl borçlunun borcundan daha ağır bir sorumluluk üstlenemez ve asıl yükümlülük azaldıkça güvence de daralır. Proje finansmanında asıl yükümlülüğün net tanımlanması kritiktir; bir tamamlama garantisinin yalnızca inşanın fiziksel tamamlanmasını mı yoksa belirli bir performans eşiğine ulaşılmasını mı kapsadığı sorusunun cevabı, garantörün riskini ve garantinin ne zaman sona ereceğini doğrudan belirler.
English Definition
The core debt or performance obligation that a guarantee, suretyship or security secures; ancillary securities survive only to the extent that this principal obligation is valid and continues. The scope of the principal obligation also sets the ceiling of the security: a surety cannot assume a heavier liability than the principal debtor's, and as the principal obligation diminishes the security contracts with it. In project financing the precise definition of the principal obligation is critical: whether a completion guarantee covers merely the physical completion of construction or the attainment of a defined performance threshold directly determines the guarantor's risk and when the guarantee falls away.
